Terms of Service

These Terms of Service govern your access to and use of Default File and related services operated by Default File at defaultfile.com. By accessing or using the Service, you agree to be bound by these Terms. The Service is offered for users in India and worldwide.

1. Agreement to these Terms

These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you" or "User") and Default File ("Default File," "we," "us," or "our"), concerning your access to and use of the website located at https://defaultfile.com, the Default File platform, and any related tools, content, features, or services made available by us (collectively, the "Service").

By accessing, browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, Free Use License, Acceptable Use Policy, Cookies and Local Storage Notice, Disclaimer, Copyright and IP Complaints Policy, and Grievance Redressal Policy, each of which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Service.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.

2. Eligibility

The Service is intended only for individuals who are at least eighteen (18) years of age (or the age of majority in your jurisdiction, if higher). By accessing or using the Service, you represent that you meet this requirement and that you have full capacity to enter into these Terms.

You may use the Service only if you are not barred from using the Service under the laws of your jurisdiction or any other applicable jurisdiction.

The Service is intended for professional and educational use in connection with user experience and user interface design practice. You are solely responsible for ensuring that your use complies with all laws and regulations applicable to you.

3. Description of the Service

Default File is a multi-tool design platform that may include, without limitation, reference materials regarding UX principles, generative design utilities such as shader gradients, export and sharing features, and additional tools that we may introduce from time to time.

We may modify, suspend, discontinue, or restrict any part of the Service at any time, with or without notice, including for maintenance, security, legal, or business reasons. We do not guarantee that any particular tool, feature, or content will remain available indefinitely.

4. Free access and reserved right to introduce paid subscriptions

The Service is currently offered free of charge for personal and professional use subject to these Terms. Free access does not create any vested right, entitlement, or expectation that the Service, or any particular feature of the Service, will remain free in perpetuity.

We expressly reserve the right, at our sole discretion, to introduce paid subscriptions, paid tiers, usage-based fees, feature gating, commercial licensing, or other paid access models for the Service or for any portion thereof (collectively, "Paid Plans"). We may convert features that are presently free into Paid Plans, or convert the Service as a whole into a paid offering.

Before we begin charging for any Paid Plan, we will provide prior notice by updating these Terms and, where reasonably practicable, by displaying an on-site notice or comparable communication. The notice will describe the material commercial terms that apply, including when charges take effect.

If you do not agree to a Paid Plan, you must stop using the affected features or the Service before the effective date of the charges. Continued use of paid features after the effective date of a Paid Plan constitutes acceptance of the applicable fees and related terms.

Unless we expressly state otherwise in writing, introduction of Paid Plans does not obligate us to grandfather existing users into free access, discounted pricing, or perpetual licenses. Any grandfathering or transition period is discretionary and may be modified or withdrawn.

If and when we offer Paid Plans, additional billing terms and payment-processor terms may apply. Those terms will be presented at the point of purchase or subscription and will form part of your agreement with us.

5. License to use the Service

Subject to your compliance with these Terms, our Free Use License at https://defaultfile.com/legal/license, and our Acceptable Use Policy, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your lawful personal or internal business purposes while applicable features remain freely available.

Except as expressly permitted by these Terms, the Free Use License, or by mandatory applicable law, you may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works from the Service or any portion thereof, nor may you remove proprietary notices from materials provided through the Service.

6. Intellectual property

The Service, including its software, design, layout, trademarks, logos, documentation, UX principle explanations, illustrative materials, and underlying technology, is owned by Default File or its licensors and is protected by intellectual property and other applicable laws. All rights not expressly granted are reserved.

"Default File" and related marks and branding are trademarks or trade dress of Default File or its affiliates. You may not use our marks without our prior written consent, except for truthful nominative references that do not imply endorsement.

Separately published packages, installable copy-source registry items, or other materials we distribute under an open-source license remain governed solely by the license notice shipped with those materials. Those grants apply only to the licensed materials and do not expand your rights in the hosted Service, trademarks, brand assets, documentation corpora, or other proprietary materials.

Third-party fonts, libraries, and other components incorporated into the Service remain subject to their respective licenses. Nothing in these Terms transfers ownership of such third-party materials to you.

7. User outputs and exports

Certain tools permit you to generate, customize, export, download, or copy visual outputs, configuration links, or other materials ("User Outputs"). As between you and us, and to the extent permitted by law, you retain whatever rights you may have in User Outputs that you create through ordinary use of the Service, subject to our ownership of the underlying Service, tools, and templates.

You are solely responsible for ensuring that your use of User Outputs does not infringe third-party rights and complies with applicable law. We do not warrant that User Outputs are unique, non-infringing, or suitable for any particular commercial purpose.

You may not use the Service, its non-public datasets, proprietary shaders, documentation corpora, or bulk exports of Service materials to train, fine-tune, or improve any machine learning or artificial intelligence model, except with our prior written consent. This restriction is intended to protect the Service and our intellectual property; it does not prohibit ordinary use of your own User Outputs in your design projects.

You grant us a limited, royalty-free license to use technical telemetry and aggregated, de-identified usage information related to generation and export features solely to operate, secure, and improve the Service, if and when such processing is implemented.

8. Educational and reference content

Materials describing UX principles, heuristics, Gestalt laws, and related design concepts are provided for educational and reference purposes only. They do not constitute professional advice, legal advice, accessibility certification, or a guarantee of design outcomes.

Illustrations, simplified explanations, and demonstrations are interpretive aids. You remain responsible for applying design judgment appropriate to your products, users, and regulatory context.

9. Accounts and future features

The Service may presently be usable without creating an account. We may introduce authentication, user accounts, saved projects, collaboration, billing, or related features in the future.

If accounts are introduced, you agree to provide accurate information, safeguard your credentials, and accept responsibility for activity occurring under your account. We may suspend or terminate accounts that violate these Terms or pose a security risk.

10. Communications

If you contact us or, in the future, create an account or subscribe to updates, we may send you service-related notices (including security, legal, billing, and operational messages). Service-related notices may be sent without an opportunity to opt out where permitted by law.

If we send marketing or promotional communications, we will do so only where permitted by law, and you may opt out using the unsubscribe mechanism provided or by emailing us. Opting out of marketing does not affect service-related notices.

11. Contests and promotions

Any contests, sweepstakes, or other promotions made available through the Service may be governed by additional rules. If you participate, those rules apply in addition to these Terms. If promotional rules conflict with these Terms, the promotional rules control for that promotion.

12. Feedback

If you submit ideas, suggestions, bug reports, or other feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, distribute, and commercialize the Feedback for any purpose, without obligation or compensation to you.

You represent that Feedback does not contain confidential information of any third party. We are free to use Feedback without restriction and without acknowledging you as the source.

13. Privacy

Our collection and use of information is described in our Privacy Policy available at https://defaultfile.com/legal/privacy. By using the Service, you acknowledge such processing as described therein, to the extent permitted by applicable law. Where consent is required for a specific processing activity, we will request it separately as required.

14. Acceptable use

You must use the Service in accordance with our Acceptable Use Policy available at https://defaultfile.com/legal/acceptable-use. Breach of that policy is a material breach of these Terms and may result in suspension or termination of access.

15. Intellectual property complaints

Notices of alleged copyright or other intellectual property infringement should be submitted under our Copyright and IP Complaints Policy at https://defaultfile.com/legal/copyright.

16. Grievance redressal

Complaints and grievances relating to the Service may be submitted under our Grievance Redressal Policy at https://defaultfile.com/legal/grievance. This channel is provided for users in India and worldwide.

17. Third-party services

The Service may rely on third-party infrastructure, content delivery networks, font providers, hosting providers, or other services. We do not control and are not responsible for third-party services, which are governed by their own terms and privacy practices.

Links to third-party websites or resources are provided for convenience only and do not constitute endorsement. We are not responsible for third-party content, goods, or services, and you access them at your own risk.

18. Export controls and sanctions

You may not use, export, or re-export the Service except as authorized by applicable export control and sanctions laws. You represent that you are not located in a country or region subject to comprehensive embargoes, and that you are not a prohibited or restricted party under applicable sanctions lists, to the extent those regimes apply to your use.

19. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that defects will be corrected. You use the Service at your own risk.

20. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR AFFILIATES, OR OUR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE THOUSAND INDIAN RUPEES (INR 1,000). IF YOU HAVE NOT PAID ANY AMOUNTS TO US, OUR MAXIMUM LIABILITY SHALL BE INR 1,000.

The limitations in this section allocate risk between the parties and form an essential basis of the bargain. They apply even if any limited remedy fails of its essential purpose. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory applicable law (including liability for fraud or willful misconduct).

21. Indemnification

You agree to indemnify, defend, and hold harmless Default File and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Outputs; (c) your breach of these Terms; or (d) your violation of any law or third-party right.

22. Force majeure

We are not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, fuel, energy, labor, or materials, failures of public or private telecommunications networks, or failures of third-party hosting providers.

23. Electronic communications and notices

You consent to receive communications from us electronically, including by posting notices on the Service or by email to an address you provide. Such communications satisfy any legal requirement that communications be in writing, to the extent permitted by law.

Notices to us must be sent to the contact email stated in these Terms, unless a specific policy requires a different address (for example, copyright or grievance contacts).

24. Suspension and termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, pose a security or legal risk, or if we discontinue the Service.

You may stop using the Service at any time. Upon termination, the license granted to you under these Terms ends immediately. Sections that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitation of liability, indemnification, feedback, and governing law.

25. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when these Terms were last revised. Material changes will be effective upon posting to the Service, or on such later date as we may specify.

Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the revised Terms. If you do not agree, you must discontinue use of the Service.

26. Governing law and disputes

These Terms and any dispute arising out of or relating to them or the Service shall be governed by the laws of India, without regard to conflict of law principles.

Subject to mandatory consumer protections that cannot be waived, the parties submit to the exclusive jurisdiction of the competent courts located in India for the resolution of such disputes.

If you are a consumer resident in a jurisdiction that grants you the right to bring proceedings in your local courts, nothing in this section deprives you of that right to the extent it cannot be waived.

27. General provisions

These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and us regarding the Service and supersede prior or contemporaneous agreements on that subject.

If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and us.

The headings in these Terms are for convenience only and do not affect interpretation. The words "include" and "including" mean "including without limitation."
